CODE OF ETHICS

Authenticity, openness, complicity and pioneering spirit have always been at the heart of Isabel Marant's philosophy. From the beginning, Isabel Marant has captured the sense of her environment without trying to follow trends. These sincerity and integrity are essential to the culture of our company, and this is how Isabel Marant succeeded in creating what has become her look. Our philosophy has always been to create clothes that last and that women (and now men) can wear season after season to feel independent, strong, and comfortable.
This design philosophy also translated into the way we manage our relationships. At Isabel Marant, we behave with sincerity and integrity, and we champion a long-term vision in order to create a company that is sustainable in every meaning of the word. We have always tried to convey these values to the ones we work with, be they our suppliers, partners and of course employees.
We decided to write this Code of Ethics to formalize and demonstrate our commitment so as to always try to improve our ethical standards. We know that there is a long way to go, but we know also that we are actors for change.

1. INTRODUCTION

Within the Isabel Marant group (hereinafter "Isabel Marant"), we are committed to behaving in an ethical and responsible way. As an international fashion brand, we are fully aware of the specific issues in the fashion industry and strive to improve the way we work so as to reduce environmental and social impacts. This is the reason why, in 2019, we committed to an overhaul of our approach to social and corporate responsibility.
This Code of Ethics is the result of this year of efforts to formalize our commitments in terms of social and corporate responsibility. This Code is an integral part of Isabel Marant's internal regulations and it is one of the many documents (including the Supplier Code of Conduct), which help communicate and enforce our values, principles and ethical policies outside the company with our partners and supply chain.
In this Code of Ethics, we set out Isabel Marant core values and principles, as the basis for the way we do business around the world. These core values and principles shape the way we interact both internally at Isabel Marant, and externally with our customers, suppliers, partners, and investors.

2. TO WHOM DOES THIS ETHICAL CHARTER APPLY?

The Code of Ethics applies to all Isabel Marant managers and employees in France and worldwide, regardless of their position or role within the group. It serves as a reference for all Isabel Marant managers and employees, who are expected to be familiar with it and ensure that its principles are actively applied in all our company.
We also expect all our manufacturers, suppliers and service providers to comply with this Code of Ethics. We only select manufacturers, suppliers and service providers who share our core values and principles, and who comply with applicable laws.
Consequently, this Code of Ethics will be provided to all new employees in their local language or in English as part of their integration and will be handed to every employees on duty when it comes into force. It is also published on the Isabel Marant website (www.isabelmarant.com), where it is accessible to everyone, including our clients, partners, and the general public.

3. WHISTLEBLOWING

It is critical that we all work together to ensure that the principles of this Code of Ethics are applied at all times. At Isabel Marant, we encourage open dialogue and an environment in which employees can express their concerns.
Therefore, any concerns relating to a potential violation of this Code of Ethics should be addressed to the Isabel Marant Ethics Committee by this link: Ethics.IsabelMarant.com. These reports will be treated with all possible confidentiality and due diligence. Any employee raising such concerns in good faith will be protected against retaliation.

4. OUR PRINCIPLES

We are a global company and, as such, we must apply our ethical principles in a comprehensive way. These can be summed up in the following fundamental values and principles, which reflect Isabel Marant philosophy and guide the way we do business.

4.1 COMPLIANCE WITH APPLICABLE LAWS AND REGULATIONS

Above all, we must always ensure that our behaviour complies with all applicable laws and regulations. This means complying with French law, EU law where applicable, and with local laws in each country where we operate. We are particularly paying attention to laws regarding human rights, health, safety, quality, labor law, the environment, data privacy, taxation, consumer protection and fair competition.
We will always comply with the applicable standards, whether it be the Code of Ethics, the local law, or social agreements.
Isabel Marant expects the same commitment from its business partners and suppliers.

4.2 INTEGRITY

Integrity has always been at the heart of Isabel Marant's values because it reflects the way this company was founded. We believe that transparency, trust and honesty are key to integrity and that is the reason why we promote these values with our employees and our partners. We value and respect people who demonstrate transparency and accountability, rather than trying to cover mistakes up. We promote open dialogue in order to find solutions to problems rather than trying to escape them. We believe that acting in accordance with the law and with strong moral principles is the basis of a safe, effective and beneficial work environment. We trust our partners and our employees because we choose people who share our values. If a breach of our principles is discovered, we will do our best to find constructive solutions to solve it and prevent it from happening again.

4.3 RESPECT FOR HUMAN RIGHTS

We are committed to respecting and promoting human rights and are particularly paying attention to issues such as child labor, forced labor, respect for freedom of association, promotion of diversity, women’s rights and the right to health and safety. As we are operating in many countries, we are guided by international standards and conventions, including the Universal Declaration of Human Rights dated December 10, 1948, the UN Guiding Principles on Business and Human Rights of June 16, 2011, as well as the Fundamental conventions of the International Labor Organization.

4.4RESPECT FOR THE ENVIRONMENT

We believe we have a responsibility to assess and improve our impact on environment. We try to drive positive change not only in our own group, but in the fashion industry in general. We believe that this can be done together, with the collaborative efforts of suppliers, manufacturers and partners. As such, Isabel Marant expects all its suppliers, manufacturers and partners to show a similar commitment by trying to reduce the negative impact of their activity on the environment and by encouraging more sustainable and responsible practices in their own activities. At a minimum, our suppliers, manufacturers and partners should comply with local and international environmental regulations and standards.

5. OUR COMPANY

Beyond the core values and principles, we have outlined the specific behaviors and standards we comply with in our business. This section applies to all internal company management. All Isabel Marant employees and managers are required to comply with these standards in the scope of their activities on behalf of the group, regardless of their position or workplace.

5.1 OUR EMPLOYEES

Isabel Marant is committed to providing its employees with a safe, motivating, transparent and creative work environment that fosters talent. We recognize that a safe and positive work environment promotes effectiveness, collaboration and growth. Whatever the size of our group, we are proud to maintain a corporate tight-knit culture since the beginnings of Isabel Marant. In line with this, we make the following commitments to our employees.

RESPECT FOR HUMAN RIGHTS

At Isabel Marant, we believe that all people should be treated with fairness and respect. We ensure compliance with applicable labor law, wherever we operate. In particular, we respect the following principles:

  • All work is free and voluntary. Any type of forced labour is strictly prohibited.
  • We ban child labour.
  • We ensure compliance with health and safety standards.
  • Working hours are in accordance with applicable laws and we ensure a balance between personal and professional life.
  • All employees are treated fairly with respect to recruitment, promotion, compensation, discipline and dismissal. There is no place for discrimination based on gender, nationality, religion, age, disability, sexual orientation, marital and family status, pregnancy, political views, trade union membership, social or ethnic origin, or any other status protected by national law.
  • We believe that women and men should receive equal pay for equal work.
  • We value diversity.
  • We respect the right to freedom of association, trade union membership, and collective bargaining.
  • We promote open dialogue and freedom of expression, respecting the law and people.

RELATIONSHIPS BETWEEN PEOPLE

We expect employees to act and treat each other with dignity and respect. Any kind of harassment or physical, sexual, psychological or verbal abuse, or any other form of harassment or intimidation is strictly prohibited. Likewise, any discrimination of any kind whatsoever, in particular, discrimination based on nationality, sexual identity, sexual orientation, age, disability, state of health or ideology is strictly prohibited.

PROTECTION OF PERSONAL DATA

Isabel Marant undertakes to respect the confidentiality of personal data collected from its clients, employees and partners. Therefore, we have been implementing the necessary measures to ensure that all collected data is processed in accordance with all applicable laws and regulations, in particular Regulation (EU) 2016/679 of the European Parliament and of the Council of 27 April 2016 (GDPR).
All Isabel Marant distributors and other partners collecting Isabel Marant customer data, both inside and outside the European Union, are also required to comply with the GDPR.

5.2 OUR CUSTOMERS AND PUBLIC RELATIONS

HEALTH AND SECURITY

Isabel Marant requires that all its suppliers and manufacturers implement the health and safety standards to guarantee that all Isabel Marant products are manufactured in a way that poses no risk to the health or safety of its customers. All employees and partners engaged in the design, production, manufacture and labelling of Isabel Marant products must ensure that these quality control standards are met.

HONEST COMMUNICATION

Isabel Marant is committed to managing all its marketing and promotional activities with transparency and honesty. All Isabel Marant employees and all other partners engaged in Isabel Marant marketing, promotion and public relations activities must ensure that these communications are made with honesty and transparency, so as to avoid giving any false, misleading or deceptive information.

5.3 CORPORATE RESPONSIBILITY

CORPORATE GOVERNANCE

The principles of honesty, transparency and integrity apply to Isabel Marant governance. Isabel Marant strives to always be a socially responsible company.
We keep accurate and diligent accounting records, and we comply with all applicable tax laws. Isabel Marant does not knowingly avoid any of its tax obligations.

BRIBERY AND FRAUD

Isabel Marant is not affiliated with any political party, in France or abroad, nor do we make any direct or indirect contribution to any political party.
All Isabel Marant managers and employees are not allowed to accept bribes of any kind. All Isabel Marant managers and employees are required to exercise good judgment before accepting, personally or on behalf of Isabel Marant, any gift which could be interpreted as any form of bribery. Likewise, all Isabel Marant managers and employees are required to show wisdom before accepting any gift, personally or on behalf of Isabel Marant, which could be interpreted as any form of bribery.
In addition, all Isabel Marant managers and employees must exercise due diligence to avoid entering into situations that could create a conflict of interest. This means avoiding situations that could harm their independent judgment, or that could put their direct or indirect personal interests in conflict with those of Isabel Marant.

FAIR COMPETITION AND CONFIDENTIAL INFORMATION

Isabel Marant complies with all applicable anti-competitive laws and regulations, in particular in France and the European Union.
In addition, all Isabel Marant representatives and employees must ensure that they respect Isabel Marant intellectual property, trade secrets and any other confidential or privileged information and its business partners by not disclosing this information to anyone outside the company.

6. OUR SUPPLY CHAIN

As an international fashion brand, we are aware that our global and environmental footprint is not limited to the internal conduct of our business. The sourcing and manufacturing of Isabel Marant products is our responsibility. This is the reason why we are looking for suppliers and manufacturers who share our values and principles, so that we can work together to improve the company and the environment instead of contributing in a negative way. Thus, in addition to the internal regulations mentioned above, we require all our suppliers and manufacturers to respect certain values and principles. These minimum standards of ethical behavior are communicated to our suppliers and manufacturers in the Supplier Code of Conduct: compliance to this Code is a condition of the business relationship with Isabel Marant. We do not knowingly work with suppliers or manufacturers who do not comply with the Supplier Code of Conduct.

Specific information regarding our efforts to combat forced labor throughout our supply chain is published annually on our website in our Modern Slavery Act and our California Transparency in Supply Chain Act Statement

6.1 COMPLIANCE WITH APPLICABLE LAW

All suppliers and manufacturers who work for Isabel Marant are expected to comply with the laws applicable to their business. Applicable law and our Supplier Code of Conduct work together to provide the minimum standards that our responsible suppliers and manufacturers are required to meet. In the event of a conflict between applicable law and the Supplier Code of Conduct, we require that the strictest standard is applied. These standards are listed below.

6.2 WORKERS AND EMPLOYEES

FORCED LABOR

All work must be free and voluntary. Any kind of forced labor, whether obtained by violence, coercion or threat, including the retention of identity documents or the obligation for workers to make deposits, is strictly prohibited.

CHILD LABOR

Child labor is prohibited, except locally applicable legal provisions. Workers under 18 do not work at night or in hazardous conditions.

DISCRIMINATION

All employees shall be treated fairly with respect to recruitment, promotion, compensation, discipline and dismissal. There is no place for discrimination based on gender, nationality, religion, age, disability, sexual orientation, marital and family status, pregnancy, political views, trade union membership, social or ethnic origin, or any other status protected by national law. We believe that women and men should receive equal pay for equal work.

HARASSMENT

All workers must be treated with dignity and respect. Workers shall not be subjected to harassment or physical, sexual, psychological or verbal abuse, or any other form of harassment or intimidation.
THE APPLICABLE LAW REGARDING WORKING HOURS MUST BE RESPECTED. ALL OVERTIME HOURS ARE WORKED IN COMPLIANCE WITH THE LEGAL FRAMEWORK AND RESPECTING THE BALANCE BETWEEN PERSONAL AND PROFESSIONAL LIFE.

WORKING HOURS

SALARY

Workers must receive a salary at least equal to the minimum salary set by applicable law. Salaries should at least meet the basic needs of workers and their families.

FREEDOM OF ASSOCIATION AND COLLECTIVE BARGAINING

Employees' rights to freedom of association, trade union membership and collective bargaining must be respected and must never be restricted directly or indirectly.

SAFETY AT WORK

WORKPLACE

Workers are provided a safe and healthy workplace, meeting at least the applicable occupational health and safety regulations, or international standards when national legislation is weak or poorly enforced. Buildings and workplaces comply with building security requirements.
Workers must have access to clean and safe premises and drinking water.
Special protection should be given to vulnerable people, including young workers, new mothers, pregnant women, and disabled people.

HAZARDS AT WORK

Procedures are implemented to prevent, detect, assess and respond to accidents and potential threats to the health and safety of workers. Appropriate measures are taken to minimize specific risks generated by works.

FIRE AND EMERGENCY

Appropriate action plans and alarm systems must be installed to prevent fires and emergencies, and to protect workers in the event thereof.

ENVIRONMENTAL IMPACT

Isabel Marant has decided to calculate its environmental impact and is committed to improving it year after year.
To do so, Isabel Marant expects all its suppliers, manufacturers and partners to show a similar commitment by trying to reduce the negative impact of their activity on the environment and by encouraging more sustainable and responsible practices in their own activities. At a minimum, our suppliers, manufacturers and partners should comply with local and international environmental regulations and standards. Other initiatives to reduce harmful impact on the environment are strongly encouraged, including, but not limited to, the following:

  • Responsible and ethical sourcing of materials
  • Waste management and reduction
  • Proper management of chemicals
  • Reducing carbon emissions and other air pollutants
  • Effective use of water and energy

7. RESPECT FOR THE ENVIRONMENT

As part of the overhaul of our corporate and social responsibility approach, we looked at our practices with a critical eye in order to reduce our environmental impact. Reducing our carbon footprint means that we have to make conscious efforts at both the micro and macro level.
At the micro level, this means making ecological decisions in the context of our daily activities, in particular regarding the use of paper, business trips and energy consumption. At the macro level, this means strengthening our relationships with environmentally responsible suppliers worldwide and continuing to look for suppliers and manufacturers who adopt sustainable practices.
